APPLICABLE LAW This agreement is governed by the laws of Switzerland. 2. LICENSE AGREEMENT This ExxaTools Thörner und Franken KG (hereafter: "Exxatools") software (the "Software) is copyrighted by Exxa. All rights are reserved. You are hereby licensed to use the Software for evaluation purposes for a certain time (evaluation license) without charge, subject to the following purchaser's restrictions and limitations and subject to the following disclaimers of warranty and of liability. Exxatools has the right to terminate the evaluation license at any time. The evaluation license terminates when the evaluation period expires. For the use of the Software after the evaluation period you need the purchaser's license. You get this license after having paid the registration fee of 49.00 US$ and having got your personal password by Exxatools. The purchaser is granted a license to use the Software only, subject to the following restrictions and limitations. The license is for the original purchaser only, and is not transferable without written permission of Exxatools. The original purchaser may use the software on a single computer owned or leased by the original purchaser. You may not use the Software on more than a single machine, even if you own or lease more than one machine, without written consent of Exxatools. The original purchaser may make back-up copies of the Software for his or her own use only, subject to the use limitations of this license. The original purchaser may not engage in, nor permit third parties to engage in, any of the following: Providing or disclosing the Software to third parties. Providing use of the Software in a computer service business, network, tim-sharing, multiple CPU or multi-user arrangement to users who are not individually licensed by Exxatools. Making alterations or copies of any kind in the Software (except as specifically permitted above). Attempting to unassemble, de-compile or reverse engineer the Software in any way. Granting sublicenses, leases, or other rights in the Software to others. Making copies, or verbal or media translations, of the user's guide. Making telecommunication data transmissions of the Software. Exxatools reserves the right to terminate this license if there is a violation of its term or default by the original purchaser. Upon termination, for any reason, all copies of the Software must be immediately returned to Exxatools, and the original purchaser shall be liable to Exxatools for any and all damages suffered as a result of the violation or default. 3. DISCLAIMER OF WARRANTY To the maximum extent permitted by applicable law, Exxatools disclaims all warranties, conditions or other terms, either express or implied, including but not limited to, implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement, with regard to the Software and the provision of or failure to provide support services. 4. DISCLAIMER OF LIABILITY To the maximum extend permitted by applicable law, Exxatools shall not be liable to you or to any third party for any damages whatsoever (including without limitation, damages for loss of profits, business interruption, loss of information or data, or any other pecuniary loss), arising out of the use of or inability to use the Software or the provision of or failure to provide support services. In any case, Exxatools's entire liability shall be limited to the amount actually paid by you for the software and/or any support services.
